TERMS OF SERVICE

1. Introduction and Acceptance

These Terms of Service govern your access to and use of the AlmondAI websites located at https://almondai.app and https://app.almondai.app, including any Company-controlled subdomains, and including self-serve platform access, beta features, free trials, early access features, and any non-contracted use of the AlmondAI services (collectively, the “Service”).

If you have entered into a separate SaaS Services Agreement or Order Form with AlmondAI Inc., that agreement governs your paid access to and use of the AlmondAI platform and services to the extent of any conflict.

By creating an account, installing, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and the Privacy Policy. If you do not agree, you must not access or use the Service. If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have full legal authority to bind that entity. In that case, any reference to “you” or “your” refers to that entity and its users.

2. Definitions

Customer means the person or entity that creates and maintains an account to use the Service.

End User means any individual who receives, is contacted by, or interacts with communications sent or generated through the Service.

Customer Data means any data, content, recordings, transcripts, audio, phone numbers, messages, metadata, contact lists, or information submitted to, processed by, or generated through the Service by or on behalf of the Customer or its End Users.

Aggregated Data means data that has been de-identified, aggregated, and cannot reasonably be linked to an identifiable individual or Customer.

Laws means all applicable laws, regulations, and rules including, without limitation, PIPEDA, GDPR, CASL, the U.S. TCPA, the U.S. Telemarketing Sales Rule, Do-Not-Call laws, and call-recording consent laws.

Documentation means user guides, product materials, instructions, and technical specifications provided by AlmondAI Inc.

3. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, a parent or legal guardian must accept these Terms on your behalf and you remain their responsibility.

4. Accounts and Security

You must provide accurate and complete registration information and keep it updated. You are responsible for maintaining the security of your account credentials and for all activity conducted through your account. AlmondAI Inc. is not responsible for losses or damages arising from unauthorized access resulting from your failure to secure your account.

5. Role and Data Responsibility

Except where AlmondAI Inc. acts as a controller for limited technical purposes, AlmondAI Inc. acts as a service provider or processor on behalf of the Customer. Customer determines the purposes and means of processing Customer Data and is solely responsible for obtaining all required consents and ensuring compliance with Laws.

6. Beta Release and Service Changes

The Service is currently in beta. You acknowledge that the Service is experimental, may contain defects, may change at any time, and may experience interruptions or data loss. AlmondAI Inc. may modify, suspend, or discontinue the Service or any feature at any time without notice.

7. Early Access and Test Features

Features labeled beta, preview, trial, early access, or evaluation are provided “as-is,” with no warranties, commitments, or service levels. You assume all risks associated with their use.

8. Telephony, Compliance, and Consent

You are the caller and sender of record for all outbound communications. You are solely responsible for complying with all Laws governing calling, messaging, recording, transcription, identification, and opt-out requirements. AlmondAI Inc. may provide configurable tools but does not guarantee compliance.

9. Acceptable Use

You will not use the Service to send unlawful, deceptive, harassing, or misleading communications; interfere with the Service; reverse engineer or build a competing product; scrape data without authorization; or use the Service for life-critical, emergency, or high-risk activities. AlmondAI Inc. may suspend or terminate access immediately for violations.

10. Artificial Intelligence Output Disclaimer

The Service may generate automated or AI-generated output that may be inaccurate or incomplete. You are solely responsible for reviewing, supervising, and validating AI output. AlmondAI Inc. disclaims all responsibility for reliance on AI output.

11. Customer Responsibilities

You are responsible for Customer Data accuracy and legality, consent management, configuration of compliance settings, and all actions taken by users under your account.

12. Third-Party Services and Carriers

The Service relies on third-party providers and integrations. AlmondAI Inc. is not responsible for outages, delays, or data loss caused by third-party services.

13. Intellectual Property

AlmondAI Inc. owns all rights in the Service. You are granted a limited, revocable, non-exclusive, non-transferable right to use the Service during the term.

14. Model Improvement and Aggregated Data

You grant AlmondAI Inc. the right to use Aggregated Data to improve products and develop new features. Aggregated Data will not identify you or any individual.

15. Feedback

Feedback may be used by AlmondAI Inc. without restriction or compensation.

16. Fees and Billing

Fees, if applicable, are charged per your selected plan. All fees are non-refundable. Plans renew automatically unless canceled.

17. Suspension and Termination

AlmondAI Inc. may suspend or terminate access for legal risk, non-payment, abuse, or service changes. AlmondAI Inc. has no obligation to retain Customer Data after thirty (30) days.

18. Privacy and Data Processing

Use of the Service is subject to the Privacy Policy and any applicable data processing terms.

19. Security

AlmondAI Inc. uses reasonable safeguards but does not guarantee absolute security.

20. Confidentiality

Confidential Information must be protected and used solely for purposes of this agreement.

21. Emergency Services

The Service cannot be used to contact emergency services.

22. High-Risk Restrictions

The Service may not be used for medical, life-critical, or safety-critical purposes.

23. Export Compliance

You will comply with all applicable export and sanctions laws.

24. Marketing and Publicity

AlmondAI Inc. may identify you as a customer unless you opt out by email.

25. Changes to These Terms

AlmondAI Inc. may update these Terms. Continued use constitutes acceptance.

26. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS-IS” AND “AS-AVAILABLE.” ALL WARRANTIES ARE DISCLAIMED.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALMONDAI INC. HAS NO LIABILITY ARISING FROM BETA OR FREE USE OF THE SERVICE.

28. Indemnification

You agree to indemnify and hold harmless AlmondAI Inc. from claims arising from your use of the Service.

29. Notices

Notices may be provided electronically. Customer notices should be sent to support@almondai.app.

30. Assignment

You may not assign without consent. AlmondAI Inc. may assign freely.

31. Force Majeure

Neither party is liable for events beyond reasonable control.

32. Governing Law and Venue

These Terms are governed by the laws of Ontario, Canada, with exclusive jurisdiction in Toronto, Ontario.

33. Severability and Waiver

Invalid provisions do not affect enforceability of the remainder.

34. Entire Agreement and Order of Precedence

These Terms, the Privacy Policy, and any applicable order forms constitute the entire agreement unless superseded by a SaaS Services Agreement, which governs paid access.
